Terms of Service

By creating an account, accessing, or using any feature of the Struxel Dynamics platform, you confirm that you are at least 18 years old, have authority to enter into these Terms (individually or on behalf of an organization), and agree to comply with them and all applicable laws and regulations.

If you are using the platform on behalf of a company or other legal entity, "you" refers to that entity. You represent that you have the authority to bind that entity to these Terms.

Struxel Dynamics is an AI governance, compliance automation, and enterprise service delivery platform. Our services include:

• AI Governance Tools: Bias detection, model monitoring, compliance reporting, audit-ready controls and evidence generation
• Implementation Services: Structured delivery of AI products and bundles with defined phase gates and handoff checklists
• Contributor Network: Onboarding, training, certification, project matching, and payout services for contributors
• HR & Career Services: Resume review, career coaching, interview preparation, and domain specialization training
• Nestria Suite: Professional marketplace, procurement, perks, travel, and community features
• Enterprise Deployment: Cloud-hosted and self-hosted AI product infrastructure

You are responsible for maintaining the security of your account credentials and for all activity occurring under your account. Notify us immediately at legal@struxeldynamics.com of any unauthorized access.

Struxel contributors participate in structured onboarding, training, and certification pathways. Struxel may pay contributors for completing approved onboarding milestones and qualifying training. Contributors operate as independent contractors, not employees of Struxel Dynamics.

Contributors retain full control of their own accounts on external platforms (e.g., Upwork, Appen, Freelancer) and submit proposals independently. Struxel earns a platform fee (currently approximately 15% of qualifying project value) from clients or platform integrations for rubric-aligned delivery coordination.

Contributor eligibility, payout rates, and tier requirements are subject to change with 14 days' notice communicated via the platform or email.

All payments are processed securely through Stripe. By using paid features, you authorize Struxel to charge your payment method.

• Domain Training Modules: One-time purchase upon checkout ($85–$135 per module)
• HR / Career Services: One-time payment per service; delivered within stated SLA
• Career Coaching: Monthly subscription; cancel anytime; access continues through end of billing period
• Enterprise Services: As specified in your order form or SOW (monthly, annual, or one-time)
• AI Governance Bundles: Annual or monthly subscription with usage-based components as applicable

All prices are in USD unless otherwise stated. Applicable taxes may be added at checkout.

• Domain training and digital products: Non-refundable once access is granted or content has been viewed.
• Resume reviews: Non-refundable once the review has been delivered.
• Coaching subscriptions: Cancel anytime; pro-rated refunds are not provided for partial months.
• Enterprise / implementation services: Refund terms specified in your master services agreement or SOW.
• Failed or duplicate charges: Contact billing@struxeldynamics.com within 7 days for review.

You agree not to:

• Use the platform for any unlawful purpose or in violation of any applicable law or regulation
• Misrepresent your identity, credentials, or qualifications
• Reverse engineer, copy, or redistribute platform content or AI models
• Attempt to gain unauthorized access to any platform system, account, or data
• Use automated scraping, bots, or crawlers without our written permission
• Engage in any conduct that is harmful, discriminatory, harassing, or fraudulent
• Circumvent any licensing, access control, or subscription mechanism

Violation of these terms may result in immediate account suspension or termination without notice.

All reviewers and coaches must maintain professional standards and confidentiality, comply with our rubric-based evaluation framework, and avoid conflicts of interest. High-performing contributors may be invited to reviewer/coach roles with performance-based compensation as outlined in the platform documentation.

The Struxel Dynamics platform, including all software, designs, content, logos, and proprietary AI models, is owned by Struxel Dynamics, Inc. and protected by copyright, trademark, and other laws. Your use of our platform does not grant you ownership of any platform content.

By submitting content to the platform (feedback, reviews, training outputs), you grant Struxel a non-exclusive, worldwide license to use it for platform improvement, anonymized reporting, and product development.

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. We are committed to GDPR, CCPA/CPRA, and HIPAA compliance as applicable. Our security posture is detailed in the Trust Center.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRUXEL DYNAMICS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

Our total aggregate liability to you shall not exceed the amounts paid by you to Struxel Dynamics in the 12 months preceding the claim.

Career coaching, resume review, and advisory services are provided for informational purposes only. Results are not guaranteed. Services do not constitute legal, medical, financial, or therapeutic advice.

You agree to indemnify, defend, and hold harmless Struxel Dynamics from and against any claims, liabilities, damages, judgments, and expenses (including legal fees) arising out of your breach of these Terms, misuse of the platform, or violation of any applicable law.

We may suspend or terminate your account at any time for violation of these Terms, non-payment, or conduct harmful to other users or the platform — with or without notice depending on severity. You may cancel your account at any time through your account settings. Upon termination, your right to use the platform ceases immediately.

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any dispute arising under these Terms shall first be submitted to good-faith mediation before initiating litigation. Any legal proceedings shall be brought in the state or federal courts located in New Castle County, Delaware.

We may update these Terms from time to time. For material changes, we will provide at least 14 days' advance notice via email or in-platform notification. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.
